1. Introduction and Acceptance

Welcome to Huntrim (“Huntrim”, “Company”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of the Huntrim website, mobile applications, software, services, and any related content (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all users, visitors and any other individuals or entities accessing the Services.

2. Eligibility and Scope of Use

You may use the Services only if:

• You are legally capable of entering into binding agreements under applicable law; and
• Your use complies with all applicable laws and regulations.

The Services are intended to support hiring of candidates. Huntrim does not provide financial, legal, medical, or law-enforcement services.

3. Description of the Services

Depending on the plan, subscription or services selected by the Customer, Huntrim may provide some or all of the following:

• hiring planning and job definition;
• job description creation and optimization;
• candidate sourcing and identification;
• candidate outreach and engagement;
• recruitment marketing and job advertising;
• candidate screening;
• resume and application analysis;
• candidate qualification and evaluation;
• AI-assisted interviews;
• skills and other assessments;
• candidate ranking and recommendations;
• interview scheduling and coordination;
• communication and workflow management;
• hiring analytics and reporting;
• hiring intelligence and insights; and
• other recruiting, hiring and talent acquisition services introduced by Huntrim from time to time.

The specific Services available to Customer will depend on the applicable subscription, order form, statement of work or other commercial agreement.

3.1 Huntrim does not guarantee that:

• any particular position will be filled;
• a particular candidate will be identified;
• a candidate will accept an offer;
• a candidate will successfully perform in a position;
• a particular hiring decision will produce a desired business outcome; or
• the Services will result in a specific reduction in hiring costs, hiring time or employee turnover.

Hiring outcomes depend on numerous factors outside Huntrim's control.

4. Restriction on Use

You must not, and shall not allow a permitted End User or any third party to: (i) give, sell, rent, lease, timeshare, sublicense, disclose, publish, assign, market, transfer or distribute any portion of the Service to any third party, including, but not limited to your affiliates, or use the Service in any service bureau arrangement; (ii) circumvent, disable or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any content or that enforce limitations on use of the Service; (iii) reverse engineer, decompile or disassemble the Service or any components thereof; (iv) modify, translate, patch, alter, change or create any derivative works of the Service, or any part thereof; (v) use any robot, spider, scraper, or other automated means to access the Service for any purpose; (vi) take any action that imposes or may impose (at Huntrim’s sole discretion) an unreasonable or disproportionately large load on the Service’s infrastructure; (vii) interfere or attempt to interfere with the integrity or proper working of the Service, or any related activities; (viii) remove, deface, obscure, or alter Huntrim’s or any third party’s copyright notices, trademarks, or other proprietary rights affixed to or provided as part of the Service, or use or display logos of the Service differing from Huntrim’s own without Huntrim’s prior written approval; (ix) use the Service to develop a competing service or product; (x) use the Service to send unsolicited or unauthorized commercial communications; and/or (xi) use the Service in any unlawful manner or in breach of these Terms. You agree to remain liable to Huntrim for any act or omission of an End User that would constitute a breach of these Terms if such acts or omissions were by you.

5. Account Registration and Security

Certain features require account creation. You are responsible for all activity conducted under your account.

Huntrim may implement verification measures, including phone or email verification and rate-limiting controls, to prevent abuse.

6. Intellectual Property Rights

All intellectual property rights in the Services, including software, algorithms, models, designs, trademarks, logos, content, and documentation, are owned by Huntrim or its licensors.

No rights are granted to you except the limited, revocable, non-exclusive right to use the Services in accordance with these Terms.

7. Third-Party Services and Links

The Services may integrate with or link to third-party services, platforms, or content.

Huntrim does not control and is not responsible for third-party services, including their availability, security, or policies. Your use of third-party services is at your own risk and subject to their terms.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. YOU ASSUME ALL RESPONSIBILITY FOR THE SELECTION OF THE SERVICE TO ACHIEVE YOUR INTENDED RESULTS. HUNTRIM HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED, IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HUNTRIM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. HUNTRIM DOES NOT OFFER A WARRANTY OR MAKE ANY REPRESENTATION REGARDING ANY CONTENT, INFORMATION, OR RESULTS THAT YOU OBTAIN THROUGH THE SERVICE. YOUR USE OF AND RELIANCE UPON THE SERVICE CONTENT AND YOUR DATA AND ANY MARKETPLACE MATERIALS IS ENTIRELY AT YOUR SOLE DISCRETION AND RISK, AND HUNTRIM SHALL HAVE NO RESPONSIBILITY OR LIABILITY WHATSOEVER TO YOU IN CONNECTION WITH ANY OF THE FOREGOING. YOU AGREE THAT WE WILL NOT BE HELD RESPONSIBLE FOR ANY CONSEQUENCES THAT MAY RESULT FROM TECHNICAL PROBLEMS INCLUDING WITHOUT LIMITATION IN CONNECTION WITH THE INTERNET (SUCH AS SLOW CONNECTIONS, TRAFFIC CONGESTION OR OVERLOAD OF OUR OR OTHER SERVERS) OR ANY TELECOMMUNICATIONS OR INTERNET PROVIDERS. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO TO THAT EXTENT SUCH EXCLUSIONS MAY NOT APPLY.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, HUNTRIM SHALL NOT BE LIABLE FOR ANY INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION LOST PROFITS OR REVENUE) ARISING OUT OF THESE TERMS OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF HUNTRIM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF HUNTRIM FOR ANY DAMAGES UNDER THESE TERMS OR IN CONNECTION WITH THE USE OF OR THE INABILITY TO USE THE SERVICE EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU FOR THE SERVICE DURING THE THREE (3) MONTHS PRIOR TO BRINGING THE CLAIM.

10. Indemnification

You agree to defend, indemnify and hold harmless Huntrim and our affiliates and our respective officers, directors, agents, consultants and employees from any third party claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: (i) your use of the Service; and/or (ii) your breach of these Terms.

11. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which describes how personal data is collected, processed, stored, and protected in accordance with applicable privacy laws, including the Israeli Privacy Protection Law and, where applicable, the EU GDPR.

12. Modifications to the Services or Terms

Huntrim may modify, suspend, or discontinue the Services, or update these Terms, at any time.

Material changes will be reflected by updating the “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

13. Termination

Huntrim may suspend or terminate access to the Services at its discretion, with or without notice, for violations of these Terms or for security, legal, or operational reasons.

Termination does not affect accrued rights or obligations.

Upon termination of these Terms, you will lose all access to the Service and to any data that we may be storing on your behalf. It is your responsibility to download your data prior to canceling your Account or any termination of these Terms. Notwithstanding the foregoing, for a period of five (5) days from the effective date of termination of these Terms we will provide you, upon your written request, with a reasonable opportunity to download your data at a time nominated by us. We reserve the right to permanently delete from our (or our third party service provider’s) servers any data that may be contained in your Account at any time following said five (5) day period. We do not accept any liability for any termination of the Service or data that is deleted in connection thereto.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
